BROCADE - Corporate Attorney

Overview

The Corporate Attorney position at Brocade Communications Systems, Inc.
(the “Company”) supports the Company’s Corporate Legal Department in
managing all aspects of its corporate legal practice, including public
company filings, compliance with corporate governance policies,
maintenance of corporate records and support on employment, litigation and
mergers and acquisitions matters. The Corporate Attorney will report
directly to the Director of Legal Affairs.

Responsibilities

The Corporate Attorney will be responsible for a wide-range of
corporate legal activities, including:
•Assisting in all aspects of on-going securities laws compliance,
including the preparation and filing of annual and quarterly SEC disclosure
documents, current reports on Form 8-K and Section 16 reporting.
•Preparing board materials, drafting resolutions, minutes, consents and
similar materials and maintaining the corporate minute books and
related records.
•Preparing the proxy statement and other related documentation in
connection with stockholder meetings.
•Helping to oversee and to maintain corporate governance policies.
•Supporting merger and acquisition transactions and other strategic
transactions, including due diligence, document preparation, closing
mechanics, and post-closing integration.
•Supporting the Human Resources Department on employment-related
matters.
•Assisting with various litigation matters from time to time.
•Providing legal advice and support regarding the Company’s
international operations, including subsidiary formation and on-going maintenance
and corporate compliance
•Special projects as requested.
Requirements

The ideal candidate for Corporate Attorney would possess the following:
•J.D., excellent academic credentials.
•At least one to three years of experience as a general corporate or
corporate securities attorney, with a major law firm and/or in-house
legal department.
•Excellent interpersonal skills, dynamic and highly team-oriented.
Sense of humor and commitment to professionalism are required.
•Excellent analytical skills, with a strong ability to draft and review
legal documents, analyze legal advice and apply legal advice to
business needs.
•Hard working, well-organized and detail-oriented. Must be able to
manage numerous projects simultaneously under deadline pressure.
•Flexibility and willingness to work on a broad variety of legal
matters.
•Ability and willingness to take initiative to address problems and
make continuous process improvements.
